Terms of Service
Fence Pilot, Inc.

These Terms of Service ("Terms") form a legally binding agreement between you ("User," "you," or "your") and Fence Pilot, Inc. ("Fence Pilot," "we," "us," or "our"). By accessing, creating an account on, or using Fence Pilot's applications, websites, or services (collectively, the "Services"), you agree to these Terms in full. If you do not agree, you must not access or use the Services.
1. License and Use
1.1 Limited License.
Fence Pilot grants you a limited, non-exclusive, non-transferable, revocable license to use the Services for your internal business operations only.
1.2 No Ownership Transfer.
Your use does not convey any ownership or intellectual property rights in the Services.
1.3 Restrictions.
You may not copy, modify, reverse-engineer, sell, or distribute any part of the Services.
2. Disclaimers
2.1 As-Is Service.
The Services are provided "as is," "as available," and without any warranty or guarantee of any kind.
2.2 No Accuracy Guarantee.
All calculations, estimates, material lists, vendor data, pricing, or outputs are for reference only. You are solely responsible for verifying accuracy before relying on them.
2.3 No Warranties.
Fence Pilot expressly disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, title, and non-infringement.
2.4 No Guarantee of Results.
Fence Pilot does not guarantee profits, increased sales, accuracy, or time savings.
3. Limitation of Liability
3.1 No Indirect Damages.
Fence Pilot shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to lost profits, lost data, or business interruption.
3.2 Liability Cap.
In all cases, Fence Pilot's total aggregate liability shall not exceed the greater of $100 or the total amount paid by you to Fence Pilot in the six (6) months preceding the event giving rise to the claim.
3.3 Third-Party Integrations.
Fence Pilot is not responsible for the acts, omissions, or failures of any third-party provider or integration (e.g., Stripe, Twilio, QuickBooks, Google, or material vendors).
4. Indemnification
You agree to defend, indemnify, and hold harmless Fence Pilot, its officers, employees, affiliates, contractors, and licensors from any claim, demand, damage, or expense (including attorneys' fees) arising out of or related to:
- your use or misuse of the Services,
- your violation of these Terms,
- your data or content, or
- any dispute between you and a third party.
5. Data, Content, and Privacy
5.1 User Data.
You retain ownership of your data, but grant Fence Pilot a worldwide, perpetual, royalty-free license to store, process, display, and use it to provide and improve the Services.
5.2 Data Loss.
Fence Pilot is not responsible for any data loss, corruption, or unauthorized access. You are responsible for maintaining your own backups.
5.3 Privacy Policy.
Your use of the Services is also governed by Fence Pilot's Privacy Policy, which is incorporated by reference.
6. Payments and Subscriptions
6.1 Billing.
Subscription fees are due in advance and renew automatically unless canceled prior to the next billing cycle.
6.2 No Refunds.
All payments are final. Fence Pilot does not offer refunds or credits for unused time, features, or partial months.
6.3 Taxes.
You are responsible for all applicable taxes, fees, and surcharges resulting from your use of the Services.
7. Termination
7.1 By User.
You may terminate your account at any time through your account settings.
7.2 By Fence Pilot.
Fence Pilot may suspend or terminate your access without notice for any reason, including but not limited to non-payment, misuse, or violation of these Terms.
7.3 Post-Termination.
Upon termination, your license and access immediately end, and all user data may be deleted without recovery.
8. No Professional or Legal Advice
Fence Pilot is a software tool only. We do not provide legal, engineering, accounting, tax, or construction advice. Any outputs, estimates, or recommendations generated by the Services are informational and not a substitute for professional judgment.
9. Arbitration, Class Action Waiver, and Claims Limitation
9.1 Mandatory Arbitration.
Any dispute, claim, or controversy arising from or related to these Terms or the Services shall be resolved exclusively through binding arbitration under the rules of the American Arbitration Association (AAA). The venue shall be Mobile County, Alabama, and proceedings shall be conducted in English.
9.2 No Class Actions.
You and Fence Pilot each waive the right to participate in a class, collective, or representative action or proceeding. All claims must be brought individually.
9.3 Waiver of Jury Trial.
You and Fence Pilot waive the right to a jury trial.
9.4 Time Limit for Claims.
All claims must be filed within six (6) months of the event giving rise to the claim. Any claim filed later is permanently barred.
9.5 Prevailing Party Fees.
The prevailing party in any arbitration may recover reasonable attorneys' fees and costs.
10. Governing Law
These Terms are governed by the laws of the State of Delaware, excluding conflict-of-law rules. The Federal Arbitration Act governs all arbitration provisions.
11. Force Majeure
Fence Pilot shall not be liable for any failure or delay caused by circumstances beyond its reasonable control, including acts of God, natural disasters, cyberattacks, network outages, or government actions.
12. Modifications
Fence Pilot may revise these Terms at any time. Updates will be effective upon posting to our website or application. Continued use of the Services after updates constitutes acceptance of the revised Terms.
13. Severability
If any provision of these Terms is found unenforceable, that provision shall be limited to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
14. Entire Agreement
These Terms, along with the Privacy Policy and any applicable subscription agreement, represent the entire agreement between you and Fence Pilot regarding the Services and supersede all prior or contemporaneous agreements.
15. Sales and Onboarding Text Messages
If you separately opt in, you may receive recurring automated sales and onboarding text messages from Fence Pilot at the mobile number you provide. Message frequency varies. Message and data rates may apply. Reply HELP for help or STOP to cancel. Consent is not a condition of purchase. Carriers are not liable for delayed or undelivered messages.
